PROMOTION AGREEMENT
This Promotion Agreement (the "Agreement") is made and entered into on this day, by and between Yellow Cup Weekend, a limited liability company with its principal place of business in Providence, RI ("YCW"), and ("Promoter").
Purpose. YCW is engaged in the promotion and marketing of Yellow Cup Weekend Houston , and the Promoter desires to engage YCW to assist with the promotion (the "Event").
Marketing Material. YCW shall provide marketing and promotional material for the Event, including flyers, posters, and other promotional items (collectively, the "Marketing Material"). Promoter agrees that it will not alter the Marketing Material in any way without the prior written consent of YCW.
Approval of Marketing Material. Promoter agrees that it will submit any and all Marketing Material that it intends to use to promote the Event to YCW for approval before using such Marketing Material. YCW shall have the right to approve or disapprove any such Marketing Material in its sole discretion. Promoter agrees that it will not use any Marketing Material that has not been approved by YCW.
Non-Compete. Promoter agrees that it will not promote or advertise any other events that are in direct competition with the Event during the time period in which the Event is scheduled to take place.
Trademarks. The Yellow Cup Weekend name and image are trademarks of YCW. Promoter acknowledges that YCW is the owner of these trademarks and that Promoter shall have no right to use the Yellow Cup Weekend name or image without the prior written consent of YCW.
Consideration. In exchange for the promotion provided by Promoter , YCW shall provide consideration as agreed upon between the parties.
Governing Law. This Agreement shall be governed by and construed in accordance with the laws of Houston, TX, without giving effect to any choice of law or conflict of law provisions.
Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings, and agreements between the parties relating to such subject matter.
Amendment. This Agreement may not be amended or modified except in writing signed by both parties.
